The two-tier landscape

What German professional services actually looks like in 2024-2025.

Top tier, fifteen or so names. Hengeler Mueller is Germany's elite domestic firm, Frankfurt-anchored, and the first to commit to Harvey firmwide in 2025. Freshfields Bruckhaus Deringer, Gleiss Lutz, Linklaters Munich and A&O Shearman Frankfurt (post the May 2024 transatlantic merger) sit alongside it.

DLA Piper Germany runs roughly 300 lawyers across Cologne, Düsseldorf, Frankfurt, Hamburg and Munich. The Big Four — Deloitte, EY, KPMG, PwC — anchor the listed-company audit and transaction-services market from Frankfurt and Düsseldorf.

The mid-tier is structurally important. Forvis Mazars, BDO, Grant Thornton, RSM, Baker Tilly Germany and Ebner Stolz service the upper Mittelstand. The long tail of sub-50-staff WP-shops services the SME Pflichtprüfung load.

On the tax-advisor side, the BStBK counts 17,301 apprentices for Steuerfachangestellte in training — the labour-intake mechanism that holds the SMB Kanzlei together. The largest regional Steuerberaterkammer is Munich (13,562 members), then Düsseldorf (9,972) and Westfalen-Lippe (9,188).

The SMB long tail is the buyer pool. Practice shape is overwhelmingly small: most Kanzleien are 1-10 Berufsträger plus 5-50 Fachangestellte, owner-managed, often multi-generational, anchored to a local Mittelstand client book. The same shape holds for the SMB law firms underneath the top tier. The pattern across all three Berufsstände: a small named top tier sets the tooling reference, and the dense 1-50-person SMB tail buys what trickles down.

Mandantgeheimnis, BStBK and BRAK Hinweise, and EU AI Act Art. 4 narrow the buyable surface to vendors that ship with EU residency, Auftragsverarbeitungsverträge under Art. 28 GDPR, Zero Data Retention clauses and demonstrated entry into the Kreis der Gehilfen.

Operational reality

What a 1-50-person German Kanzlei actually runs like.

Berufsträger plus Fachangestellte bench. The buyer Areza realistically wins is the 5-50-employee Kanzlei — one or two Berufsträger (StB, RA, WP) plus a Fachangestellte bench. Client mix is Mittelstand SMB, ultra-HNW private clients, estate planning, plus a small cross-border or expansion tail.

German is non-negotiable for client-facing communication, Finanzamt and Bundeszentralamt für Steuern interaction, and court filings via beA. English shows up on the cross-border layer and on global tooling adoption, not on the everyday surface.

Mandantgeheimnis is stricter than the EU baseline. Steuerberater (§57 StBerG and §203 StGB), Rechtsanwälte (§43a BRAO and §203 StGB) and Wirtschaftsprüfer (§43 WPO) carry criminal-law-grade confidentiality covering everything disclosed in mandate.

An AI vendor processing client data must be brought inside the Kreis der Gehilfen — both contractually and through technical infrastructure — and a separate Auftragsverarbeitungsvertrag (AVV) under Art. 28 GDPR is mandatory. EU/Frankfurt data residency is a de-facto procurement filter; Zero Data Retention clauses are increasingly demanded; standard OpenAI or AWS-US endpoints are unbuyable without specific SCCs and supplementary measures.

Decision-making is partnership-consensus and reference-driven. Buying motions run 3-6 months for SMB-tier SaaS subscriptions, longer for anything touching client data. References travel via the Steuerberaterkammer, the regional Anwaltverein, and informal Kanzlei-Stammtisch networks; BStBK, BRAK and DStV publications are read closely and shape what respectable looks like.

The DATEV, Septeo and RA-MICRO lock-in is heavy — switching costs are measured in years, not months, and any new tool that does not integrate via DATEV-Schnittstelle is a non-starter for most tax-advisor procurement.

Fee pressure is structural and accelerating. AI promises 25-40% time savings on document review, due diligence, first-draft contracts and routine bookkeeping. Wundertax-style consumer tax apps and automated bookkeeping platforms are eating the bottom of the Steuerberater fee pool.

The hourly-billable model — RVG for lawyers, StBVV for tax advisors — creates a productivity-versus-margin tension: pass savings to clients via Vergütungsvereinbarung and fixed fees, or absorb them as capacity expansion. The Sie register holds across every client surface; Du appears only inside the team and only with senior signal.

Mandantgeheimnis, BRAK, DStV, BfDI and the EU AI Act — the buyable surface.

§203 StGB Mandantgeheimnis. Stricter than the EU baseline. AI vendors handling Mandantendaten must be inside the Kreis der Gehilfen — explicit contractual obligation to professional secrecy, technical isolation, no training on client data, German or EU-region hosting, separate AVV under Art.

28 GDPR. Standard US-endpoint OpenAI or Anthropic deployments are not lawful without supplementary measures. Enterprise EU-residency contracts (Azure OpenAI EU, AWS Bedrock EU Frankfurt) are the minimum bar.

StBerG, BRAO, WPO. The three professional statutes — Steuerberatergesetz, Bundesrechtsanwaltsordnung, Wirtschaftsprüferordnung — lock in mandate, fee rules (StBVV, RVG), advertising restrictions, and supervisory authority of the respective Kammer. Every AI deployment must remain compatible with the Aufsichts- und Sorgfaltspflicht of the Berufsträger; no AI defence for malpractice is permitted, as the BRAK guidance explicitly states.

BRAK Hinweise zur KI-Nutzung (Dec 2024). The Federal Bar published its KI-Leitfaden in December 2024 — covering verification duty, personal responsibility, confidentiality and data protection, transparency obligations from 2 August 2026 under the EU AI Act, and mandatory staff training on AI competence and liability.

DStV published a Whitepaper KI-Assistenten in February 2025 and a follow-up Whitepaper KI-Agenten covering autonomous agents. IDW has issued parallel guidance for Wirtschaftsprüfer covering ISA 315 and ISA 540 implications of AI in audit.

BfDI + 16 Landesdatenschutzbehörden + BDSG. Germany's federalised DPA structure means a Kanzlei in Bayern answers to the BayLDA, Berlin to the BlnBDI, and so on — enforcement varies by Land. BDSG layers employee-data rules on top of GDPR. AVV templates from each Kammer are widely circulated and used as the procurement-tier starting point.

EU AI Act — Art. 4 since 2 Feb 2025, Annex III by 2 Aug 2026. Force date 1 Aug 2024; Art. 4 KI-Kompetenzpflicht (AI literacy duty) has applied to Kanzleien and Steuerberater-Praxen since 2 February 2025.

Annex III high-risk classifications relevant to professional-services clients include creditworthiness scoring (corporate-finance and credit-advice practice), AI in employment and HR decisioning, and AI for administration of justice — full compliance bar 2 August 2026. Penalties run up to EUR 15M or 3% of global turnover; fraud detection is carved out.

Search + AI citation gap

The Kammer-Verzeichnis layer dominates German SERPs but is structurally hostile to AI extraction. Steuerberater-Verband directories, anwalt.de, 11880 and Kammer member-lists rank for nearly every Berufsträger × Stadt query, but their listing pages render thin, often unstructured Anwaltsprofile that AI Overviews summarise poorly.

Individual practice pages that ship rich schema-annotated content — LegalService, AccountingService, Person-with-credential markup — can leapfrog the directory layer in ChatGPT, Perplexity and Gemini citation surfaces. The arbitrage is open and quiet.

German-language professional-services AI Overviews are materially thinner than the English equivalents. Most foundation models are trained on English-default legal-tech and tax-advice content — Bar publications, Above the Law, Accounting Today.

The German-content gap is only now being closed by Harvey × Otto Schmidt, Beck-Noxtua, juris AI Suite and Taxy.io. The window for German-language E-E-A-T-strong practice content to claim AI citations on 'Steuerberater [Stadt] [Fachgebiet]' and 'Fachanwalt [Bereich]' queries is open but closing as competitors catch on.

Intake is overwhelmingly human-only or generic-Typeform-only.
